Welcome to Prodigy EMS. These Terms of Service ("Terms") govern your access to and use of the Prodigy EMS platform, website, and all related services (collectively, the "Service") provided by Prodigy EMS ("Prodigy EMS," "we," "us," or "our"). By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

"Service" refers to the Prodigy EMS learning management system platform, including all courses, content, tools, features, and related services provided through the Prodigy EMS website and application.
"User" refers to any individual who accesses or uses the Service, whether as an individual subscriber or as a member of an organizational account.
"Organization" refers to any department, agency, or entity that purchases access to the Service on behalf of its members or employees.
"Admin" refers to an individual designated by an Organization to manage organizational settings, users, and content within the Service.
"Training Officer" refers to an individual designated by an Organization to manage department-level training, assignments, and compliance within the Service.
"Content" refers to all courses, videos, quizzes, educational materials, and other intellectual property made available through the Service.
"Custom Content" refers to courses, materials, or media created or uploaded by an Organization or its designated representatives using the Service's content creation tools.
"Subscription" refers to the paid access plan purchased by a User or Organization to access the Service for a defined period.
To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Prodigy EMS immediately if you become aware of any unauthorized use of your account or any other breach of security.
You must be at least sixteen (16) years of age to use the Service. If you are at least 16 but under 18 years of age (a "Minor"), you may only use the Service with the express consent and ongoing supervision of a parent or legal guardian. By consenting to these Terms on behalf of a Minor, the parent or legal guardian agrees to be bound by these Terms on the Minor's behalf and accepts full responsibility for the Minor's use of the Service, including any obligations, liabilities, or violations arising from such use. Prodigy EMS reserves the right to request verification of parental or guardian consent at any time and to suspend or terminate a Minor's account if such consent cannot be verified.
If you are 18 years of age or older, you represent and warrant that you have the legal capacity to enter into these Terms. All Users, regardless of age, represent that the information provided during registration and throughout their use of the Service is truthful and accurate.
The Service is not directed at children under the age of sixteen (16), and Prodigy EMS does not knowingly collect personal information from anyone under sixteen (16) years of age. If we become aware that a User is under sixteen (16), we will take steps to terminate that User's account and delete any associated personal information.
Prodigy EMS provides a cloud-based learning management system offering CAPCE-accredited continuing education courses and related tools for EMS clinicians. The Service includes access to on-demand and live courses, training plan management, certification tracking, reporting, and administrative tools. Access to the Service is provided on a subscription basis and does not include any physical products or downloadable software.
All Content is delivered digitally through the platform and is accessible upon successful login. The specific features and Content available to you depend on the type of Subscription you or your Organization has purchased.
Access to the Service requires an active Subscription. Subscriptions are available for individual Users and for Organizations. Pricing, duration, and features included with each Subscription are described on the Prodigy EMS website and may be updated from time to time.
By purchasing a Subscription, you authorize Prodigy EMS to charge the applicable fees to your designated payment method. All payments are processed through third-party payment processors, and Prodigy EMS does not directly collect or store credit card or bank account information. If payment fails or is declined, Prodigy EMS is under no obligation to provide or continue the Service until payment is successfully received.
Subscription fees are non-prorated. Unless otherwise agreed in writing, Subscriptions begin on the date payment is received and remain active for the purchased term. Failure to pay the required fees in a timely manner may result in service interruption or account suspension.
Individual Users may request a full refund if no courses have been completed within the Service. If one or more courses have been completed, a partial refund may be issued, calculated as the Subscription fee minus the retail value of the completed courses, provided the refund request is submitted within fifteen (15) calendar days of the original purchase date. No refunds will be issued after fifteen (15) calendar days from the date of purchase, regardless of course completion status.
Organizational Subscriptions are governed by the terms of the applicable contract or service agreement between the Organization and Prodigy EMS. Refund eligibility for organizational accounts will be determined in accordance with such agreements.
Refund requests must be submitted by contacting Prodigy EMS at support@prodigyems.com. Approved refunds will be processed using the original payment method within a reasonable timeframe.
Prodigy EMS reserves the right, at its sole discretion, to suspend or terminate any User account without prior notice for conduct that Prodigy EMS determines, in its sole judgment, violates these Terms, is harmful to other Users or the Service, or is otherwise objectionable. Grounds for suspension or termination include, but are not limited to:
(a) Engaging in fraudulent activity, academic dishonesty, or any deliberate attempt to manipulate, circumvent, or exploit the platform's systems, assessments, or completion requirements, including but not limited to the use of automated tools, scripts, bots, browser extensions, or artificial intelligence technologies to complete courses, quizzes, assessments, or any other training activities on behalf of the User. All coursework and assessments must be completed personally and independently by the registered User.
(b) Sharing, distributing, or otherwise making available login credentials or account access to unauthorized individuals, or allowing another person to complete coursework under your account.
(c) Using abusive, threatening, harassing, or otherwise inappropriate language or conduct directed toward Prodigy EMS staff, support personnel, instructors, or other Users, whether through email, in-platform communication, phone, or any other channel.
(d) Violating any applicable laws, regulations, or third-party rights in connection with the use of the Service.
(e) Any other conduct that Prodigy EMS reasonably determines to be detrimental to the integrity, security, or reputation of the Service.
In the event of account termination due to a violation of these Terms, no refund will be issued, and the User forfeits any remaining Subscription benefits, continuing education credits in progress, or other entitlements associated with the account.
The continuing education credits provided through Prodigy EMS are accredited by recognized accrediting bodies, including the Commission on Accreditation for Pre-Hospital Continuing Education (CAPCE). To maintain the integrity of these accreditations, all Users must complete all coursework, quizzes, assessments, and training activities personally and without unauthorized assistance.
The use of artificial intelligence tools, automated systems, browser extensions, third-party services, or any other technology to generate answers, complete assessments, bypass activity requirements, or otherwise simulate course participation on behalf of a User is strictly prohibited. Users must engage with all course materials authentically, and completion records must accurately reflect the User's own knowledge and effort.
Prodigy EMS reserves the right to investigate suspected violations of this section and may, at its sole discretion, invalidate course completions, revoke issued continuing education credits, suspend or terminate User accounts, and report violations to applicable accrediting bodies or regulatory authorities.
Organizations that purchase Subscriptions on behalf of their members or employees are subject to the following additional terms.
Roster Management. Organizations are responsible for maintaining an accurate and current roster of active Users within their account. This includes adding new Users, removing departing personnel, and ensuring that only authorized individuals have access to the Service. Any changes to the organizational roster, including additions or removals of Users, must be submitted to Prodigy EMS prior to the start of the next contract year. Prodigy EMS is not responsible for unused seats or access granted to unauthorized individuals resulting from an Organization's failure to maintain its roster.
Custom Content Compliance. Organizations that create or upload Custom Content using the Service's content creation tools are solely responsible for ensuring that all such Custom Content complies with applicable laws and does not infringe upon any third-party intellectual property rights, including but not limited to copyrights, trademarks, and rights of publicity. Custom Content must not include copyrighted videos, images, text, or other media unless the Organization holds the necessary rights, licenses, or permissions to use such materials. Prodigy EMS assumes no liability for any claims arising from an Organization's Custom Content, and the Organization agrees to indemnify and hold Prodigy EMS harmless from any such claims.
Administrative Responsibility. Organizations are responsible for the actions of their designated Admins and Training Officers within the Service. Prodigy EMS is not liable for any misconfiguration, data loss, or unintended consequences resulting from administrative actions taken by Organization personnel.
All Content, materials, software, trademarks, logos, and other intellectual property available through or in connection with the Service are the exclusive property of Prodigy EMS or its licensors and are protected by applicable intellectual property laws. No right, title, or interest in any such intellectual property is transferred to you through these Terms or your use of the Service.
You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, download, store, transmit, sell, sublicense, or otherwise exploit any Content or materials from the Service without the prior written consent of Prodigy EMS, except as strictly necessary for your personal use of the Service in accordance with these Terms.
You agree to use the Service only for its intended purpose and in compliance with these Terms and all applicable laws and regulations. You may not: (a) use the Service in any manner that could damage, disable, overburden, or impair the platform or interfere with any other party's use of the Service; (b) attempt to gain unauthorized access to any portion of the Service, other User accounts, or any systems or networks connected to the Service; (c) use the Service to transmit any malicious code, viruses, or harmful content; (d) reproduce, duplicate, sell, resell, or exploit any portion of the Service without Prodigy EMS's express prior written permission; or (e) use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. The Privacy Policy is available on the Prodigy EMS website and is incorporated into these Terms by reference.
Prodigy EMS strives to maintain consistent availability of the Service but does not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our reasonable control. Prodigy EMS reserves the right to modify, update, or discontinue any aspect of the Service at any time, with or without notice. If the Service is permanently discontinued, Prodigy EMS will make reasonable efforts to notify affected Users and provide an opportunity to retrieve relevant account data.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODIGY EMS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PRODIGY EMS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM PRODIGY EMS OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRODIGY EMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF PRODIGY EMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PRODIGY EMS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO PRODIGY EMS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless Prodigy EMS and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights; (e) any Custom Content you or your Organization uploads to the Service; or (f) any willful misconduct by you.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Middlesex County, Massachusetts, and you consent to the personal jurisdiction and venue of such courts.
Prior to initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting Prodigy EMS at support@prodigyems.com. Prodigy EMS will make reasonable efforts to address your concern within twenty-one (21) days of receipt.
Prodigy EMS reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide notice through the Service or via email. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
No Waiver. Prodigy EMS's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be deemed a further or continuing waiver of such term or any other term.
Assignment. Prodigy EMS may assign or transfer its rights and obligations under these Terms without restriction. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Prodigy EMS.
Entire Agreement. These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Prodigy EMS with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
